1. About SeoNest
SeoNest is a personal brand offering website development, SEO, website performance optimization, AI integrations, hosting, and technical support services. For enquiries about our services or these terms, please contact support.seonest@gmail.com.
This page explains our general terms of cooperation. Where a separate agreement with a client provides different terms, that agreement governs the relevant project. Mandatory requirements of applicable law remain unaffected.
2. Agreeing on Services and Placing an Order
Submitting an enquiry through the website does not, by itself, constitute a paid order or a final project agreement. The scope of work and cooperation arrangements are established after discussing the project. Before work begins, the following are agreed in writing:
- the project objectives and scope of work;
- pages, features, and integrations;
- design and technical requirements;
- the project price and payment stages;
- estimated timelines and handover arrangements;
- the third-party services and service plans included in the price.
The written agreement may take the form of a contract, approved project specification, commercial proposal, or electronic correspondence confirming the parties’ agreement.
3. Pricing and Payment
The project price is based on the scope of work, technical complexity, integrations, and other agreed requirements. Payments are made as follows:
- 30% initial payment — after the project scope, price, and main terms have been agreed, before work begins;
- 70% final payment — once the project is approximately 90% complete and the main design and functionality have been demonstrated to the client, before the website is launched publicly.
Receipt of the final payment does not remove the obligation to complete the remaining agreed work. SeoNest remains responsible for completing that work and delivering the project in accordance with the agreed requirements. Public launch of the website and final handover of the project code and relevant access credentials take place after full payment.
If payment is delayed, subsequent work stages and delivery dates may need to be rescheduled in consultation with the client. The price of any work involving additional charges is agreed separately before that work is carried out.
4. Client Participation and Responsibilities
To support timely delivery, the client provides the necessary materials and information and approves key decisions within the agreed timeframes. In particular, the client:
Delays in providing materials, access, or approvals may affect the work schedule. Where this occurs, project timelines are revised by agreement, taking into account the impact of the delay.
- supplies text, images, logos, and other required materials;
- ensures that they have the necessary rights to use the materials supplied;
- provides appropriate permissions or access to the required systems;
- reviews demonstrations and work delivered and provides feedback;
- makes the agreed payments.
5. Additional Requests and Changes
New features, additional pages, new integrations, or revisions to previously approved solutions that fall outside the agreed scope are assessed as additional work. Their price and delivery schedule are agreed with the client in advance.
Correcting a feature that does not meet the original requirements is distinguished from implementing a new request. The complexity or size of a correction does not, by itself, make it chargeable additional work: whether it falls within the agreed scope must first be established.
6. Project Review and Handover
Before handover, the client is given an opportunity to review and test the agreed deliverables. Any issues identified should be described as clearly as possible, with reference to the relevant page, feature, or example. Issues relating to the agreed requirements are corrected; new requests are handled as additional work.
The final handover package depends on the project agreement. It may include website files, project code, relevant access credentials, and information needed to use the deliverables. The handover or public launch date is recorded in writing.
7. One-Month Free Defect Correction Period
For one month from project handover, SeoNest will correct, free of charge, defects in its work that prevent the deliverables from operating in accordance with the agreed requirements. The start date of this period is recorded in the handover correspondence or the relevant agreement.
Free defect correction does not cover the following work outside the original agreement:
Charges for such work are agreed in advance. After the one-month free correction period, further technical support and development are provided under a separate agreement. This arrangement does not limit mandatory rights under applicable law.
- adding new features or integrations;
- redesigning an approved design at the client’s request;
- changing the project structure or behaviour to meet new requirements;
- resolving issues caused by changes made by the client or another party;
- adapting the project to subsequent changes in third-party service requirements or pricing plans.
8. Domain, Hosting, and Other Third-Party Costs
The agreed project price includes the initial costs of the domain and third-party services such as hosting, paid APIs, and licences. The services, pricing plans, and usage limits included are specified in writing for the project.
These costs are covered for the following periods:
The domain’s one-year period is calculated from its actual registration or renewal date. During handover, the client is informed of the pricing plans, payments, and expiry dates relevant to continued service. Costs arising from usage above the agreed limits or an upgrade to a more expensive plan are agreed separately.
- Domain: the initial one-year registration or service period is included in the project price; subsequent renewal costs are paid by the client.
- Hosting and other recurring third-party services: one month is included in the project price, starting from the date recorded in writing as the project completion or public launch date; subsequent costs are paid by the client.
9. Ownership of the Website and Code
Once the project has been paid for in full, the economic intellectual property rights in the website and project code created specifically for the client are transferred to the client to the extent specified in the agreement. The arrangements for handing over code, files, and relevant access credentials are agreed for the project.
Open-source libraries, frameworks, fonts, paid components, and other third-party materials remain subject to their respective licences. Their inclusion in the project does not transfer ownership of those components or override their licence terms. Rights in materials supplied by the client remain with the respective rights holders.
10. Project Cancellation and Refunds
If the client decides not to continue the project, the parties calculate the work completed and payments made. The value of completed work is determined using the agreed prices, project stages, and deliverables actually provided. The calculation is explained to the client.
Any amount remaining after deducting the calculated value of completed work from the payments received is refunded to the client. Refunds of domain, licence, or other third-party costs are determined with reference to the relevant provider’s refund terms and applicable law.
Payment for unperformed work is not automatically retained. The refund amount, timeframe, and payment method are documented in writing. If SeoNest does not continue the project or services have not been properly performed, the financial settlement and the parties’ rights are determined under the relevant agreement and applicable law.
11. Portfolio and Project Publicity
The client’s separate consent is obtained before a completed project is displayed on the SeoNest website, social media, or in presentations. That consent may specify which elements may be published, such as the project name, logo, link, screenshots of public pages, or project description.
Permission to use a project in our portfolio does not authorise disclosure of the client’s passwords, internal systems, personal data, or other confidential information. Any separate confidentiality agreement is also taken into account.
12. SEO, Performance, and Third-Party Services
SeoNest works to meet the agreed technical and quality requirements. However, specific search rankings, traffic levels, enquiry volumes, or sales figures do not depend solely on website development. Results are also influenced by competition, content, advertising, market conditions, and changes to search engines. Commitments to specific metrics apply only where expressly agreed separately in writing.
If a hosting provider, domain registrar, payment system, or another third-party service experiences an interruption, the cause and the scope of agreed assistance are assessed. Using a third-party service does not automatically remove SeoNest’s obligations concerning its own work.
13. Website Use and Privacy
The website must be used for lawful purposes. Sending malicious files, attempting unauthorised access, interfering with website operations, or submitting materials that infringe another party’s rights is prohibited.
The collection, use, and storage of personal data are explained in SeoNest’s Privacy Policy. Acceptance of these terms does not replace separate consent to email marketing or optional analytics.
14. Disputes, Updates, and Contact
If a project-related disagreement arises, the parties will first discuss it in writing and seek a resolution based on the agreed requirements, completed work, and payments. If no agreement is reached, the matter is handled in accordance with the relevant contract and applicable law.
If these terms are updated, the revised version will be published on the website with its last updated date. Updating the website text does not change a previously agreed project price, scope, or other individual terms without the client’s agreement.
